DGAP-News: Delivery Hero AG / Key word(s): Agreement
Berlin, April 19, 2018 - Delivery Hero AG ("Delivery Hero") plans to change its legal form from a Aktiengesellschaft (AG) to a Societas Europaea (SE) this year. In this context, Delivery Hero has already reached an agreement with the representative body on the participation of its employees - the "Special Negotiation Body" - in the future SE. The agreement provides that the future SE Supervisory Board will consist of six members. Three of these members will be Delivery Hero employees. In addition to the 50% quota for employees, it was agreed that at least two seats on the Supervisory Board will be taken by women. Furthermore, Delivery Hero will establish an SE works council after the planned conversion. The works council has been granted substantial information rights. The works council will be composed of employee representatives from all European countries in which Delivery Hero has employees. Emmanuel Thomassin, CFO of Delivery Hero: "Delivery Hero's corporate culture is characterized by openness, flat hierarchies and participation. We look forward to strengthening this culture with the agreement we have now reached and look forward to working constructively with employee representatives". Semih Yalcin, Chairman of the "Special Negotiation Body": "We had intensive negotiations; in the end we found a good solution that should have a positive effect on the entire company. Now we will define common goals and want to prove that we are better than the competition - also in employee matters". Contact: Bodo v. Braunmühl Head of Corporate Communications
